Contract Review & Analysis

Contract review includes analyzing a contract, providing feedback to the client of important terms and then working to revise the contract to protect the client.  Mr. Rianda has reviewed hundreds of agent, ISO, processor and bank contracts on behalf of his clients.  Because of the large number of contracts he has seen, he is able to advise clients both on the best way to legally protect their rights to their residual stream as well as being able to provide advice on what companies are offering the most lucrative financial packages.  Typical types of contracts that Mr. Rianda has reviewed and provided advice to clients on are agent agreements, ISO agreements, BIN sponsorship contracts, independent contractor agreements, referral agreements, portfolio purchase agreements, asset and share purchase agreements, merchant agreements and reseller agreements.

Contract Drafting

While working for ISOs and agents, Mr. Rianda has drafted numerous contracts for his clients in the bankcard industry including agent agreements, ISO agreements, independent contractor agreements, referral agreements, portfolio purchase agreements, asset and share purchase agreements, merchant agreements and reseller agreements.  Mr. Rianda uses his experience with the many contracts he has reviewed over the years and incorporates that knowledge into the contracts that he provides to his clients.

Portfolio Sales/Mergers & Acquisitions

Mr. Rianda has helped his clients in the sale of their businesses by drafting and negotiating agreements for the sales of portfolios of merchants and entire businesses.  In addition, he has worked with investment bankers, venture capitalist and other sources of funds to obtain financing for his clients. If you want to sell your portfolio, he also has access to clients who are interested in buying portfolios.

Corporate Law

Paul A. Rianda has experience with starting up over 75 companies.  If you need to start up a corporation, limited liability company or partnership, or service any existing entity, Mr. Rianda can provide the necessary legal services. In addition, he provides services to ongoing businesses such as drafting corporate minutes, operating agreements, bylaws and any other documents necessary to maintain corporate protection.

Litigation

Mr. Rianda’s first five years as an attorney were spent handling litigation cases. Consequently, he has broad experience in litigating cases, having handled numerous law & motion matters, depositions, arbitrations, mediations and jury trials. Mr. Rianda specializes in business litigation matters such as contract disputes but has also handled a broad range of matters including intellectual property (Lanham Act) claims, coverage disputes, environmental claims, personal injury, real estate claims, collections, suits against cities and employment matters.

Arbitration & Mediation Services

Mr. Rianda is available to act as an arbitrator or a mediator. Mr. Rianda is on the panel of the Orange County, California Superior Court as an arbitrator and mediator. He has acted as an arbitrator on a three-arbitrator panel that included a retired superior court judge that rendered a decision in a matter involving an agent and an ISO. In addition, Mr. Rianda has settled numerous cases while acting as a mediator in mandatory settlement conferences while donating his time to the Orange County Superior court.

Expert Witness

Mr. Rianda has acted as an expert witness on a number of cases related to the bankcard industry. He has provides expert witness opinions about matters such as the proper circumstances under which an agent contract may be cancelled, valuation of merchant portfolios, the rights of agents and ISOs in regard to customers lists and items related to leasing credit card processing equipment.
